Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the CommunityShopper platform operated by CommunityShopper Pty Ltd (ABN 68 636 646 387) (“CommunityShopper”, “we”, “us”, or “our”), including our websites, buyer app, organiser tools, vendor portal, and related services (collectively, the “Services”). By creating an account, joining a community, or using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and capable of entering a binding contract under applicable law. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Our role
CommunityShopper provides a technology platform that helps communities pool demand and connect with verified vendors. We are not the seller of vendor goods unless explicitly stated. Vendors are independent businesses responsible for product quality, fulfilment, and compliance with applicable laws.
3. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your login credentials and account activity.
- We may suspend or terminate accounts that violate these Terms, applicable law, or community rules.
4. Communities and invites
Community organisers may invite members using invite links or codes. By joining a community, you agree to follow reasonable community rules set by the organiser and to use the Services in good faith. Organisers are responsible for community administration within the tools we provide; they do not act as agents of CommunityShopper unless separately agreed in writing.
5. Orders, pledges, and tier pricing
- Buyers may pledge to join a pooled order. Final pricing depends on the tier reached when the order window closes.
- A pledge is a commitment to purchase if the order closes successfully at an applicable tier. Cancellation rules may vary by order stage and are shown in the product flow.
- We may cancel or modify orders where required for fraud prevention, vendor unavailability, legal compliance, or operational safety.
6. Payments and escrow
- Payments are processed by Stripe. By paying through the Services, you also agree to Stripe's applicable terms and privacy policy.
- Buyer payments may be held in escrow until delivery is confirmed or another release event defined in the order flow occurs.
- Vendor payouts are made through Stripe Connect after eligible orders are completed, subject to dispute holds, chargebacks, and compliance reviews.
- You authorise us and our payment partners to charge your selected payment method for confirmed orders, applicable fees, and any permitted adjustments such as refunds or partial credits.
7. Delivery, acceptance, and disputes
- Delivery or pickup arrangements are coordinated between vendors, organisers, and buyers as described in each order.
- If there is a problem with an order, you must raise a dispute through the Services within the timeframe shown in the app. We or our operations team may mediate disputes and apply refunds or adjustments in line with our policies and Australian Consumer Law where applicable.
- Nothing in these Terms limits rights that cannot be excluded under the Australian Consumer Law.
8. Vendor obligations
Vendors using the vendor portal agree to:
- Provide accurate listings, pricing, and availability
- Fulfil accepted orders promptly and safely
- Comply with food safety, labelling, tax, and other applicable laws
- Complete Stripe Connect onboarding and maintain valid payout details
- Respond to operational and dispute enquiries in a timely manner
9. Acceptable use
You must not:
- Use the Services for unlawful, misleading, or abusive purposes
- Attempt to bypass security, payment, or access controls
- Scrape, reverse engineer, or overload the platform without permission
- Interfere with other users, vendors, or community operations
- Upload malware or infringing content
10. Fees
CommunityShopper may charge platform or payment-related fees to vendors or other participants as disclosed during onboarding or in order flows. Applicable taxes may apply.
11. Intellectual property
The Services, branding, software, and content we provide are owned by or licensed to CommunityShopper. You receive a limited, non-exclusive, revocable licence to use the Services for their intended purpose. You retain ownership of content you submit, and grant us a licence to use it to operate and promote the Services.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that policy.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, specific savings outcomes, or vendor performance, except where a non-excludable guarantee applies under the Australian Consumer Law.
14. Limitation of liability
To the maximum extent permitted by law, CommunityShopper is not liable for indirect, incidental, special, or consequential loss, or for loss of profit, data, or goodwill. Our aggregate liability arising from or related to the Services is limited to the greater of (AUD) $100 or the fees you paid to us in the 12 months before the claim, except where liability cannot be limited by law.
15. Indemnity
You agree to indemnify CommunityShopper against claims, losses, and expenses arising from your misuse of the Services, breach of these Terms, or violation of applicable law, except to the extent caused by our negligence or misconduct.
16. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access with notice where reasonable, or immediately where necessary to protect users, vendors, or the platform. Termination does not affect accrued payment obligations or provisions intended to survive.
17. Changes
We may update these Terms from time to time. Continued use after the updated effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
18. Governing law
These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria, without prejudice to mandatory consumer protections in your place of residence.
